Terms of Service

Welcome to MyGlobAD. These Terms of Service (“Terms”) govern your access to and use of our website, platform, mobile applications, APIs, and other services (collectively, the “Service”). By registering for, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

“Account” means your user profile and credentials for accessing the Service.

“Content” means all text, images, videos, data, or other materials uploaded, posted, or otherwise made available through the Service.

“Platform” refers to MyGlobAD’s online advertising and data analytics system.

“We,” “us,” or “our” refers to MyGlobAD, its affiliates, and licensors.

2. Eligibility

You must be at least 18 years old or have reached the age of majority in your jurisdiction to create an Account. By using the Service, you represent and warrant that you meet this age requirement and have full power, capacity, and authority to enter into these Terms.

3. Account Registration and Security

3.1 Registration. To use certain features, you must register for an Account and provide accurate, current, and complete information.

3.2 Credentials. You are responsible for safeguarding your username, password, and other account credentials. You agree to notify us immediately of any unauthorized use of your Account.

3.3 Suspension & Termination. We reserve the right to suspend or terminate your Account at our discretion, including for violation of these Terms or unlawful conduct.

4. Use of the Service

4.1 License Grant. Subject to your compliance, MyGlobAD grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

4.2 Prohibited Conduct. You agree not to:

• Use the Service for unlawful purposes or in violation of applicable laws or regulations.
• Infringe or misappropriate any third-party intellectual property rights.
• Disrupt, impair, or interfere with the operation of the Service or other users’ access.
• Attempt to reverse engineer, decompile, or disassemble any portion of the Service.
• Use automated means (e.g., bots, scripts) to access or extract data without prior written consent.

5. Intellectual Property

5.1 Ownership. MyGlobAD and its licensors retain all rights, title, and interest in the Service and all content and technology. No rights are granted except as expressly set forth in these Terms.

5.2 Feedback. If you provide suggestions or feedback, you grant MyGlobAD a perpetual, irrevocable, royalty-free license to use, modify, or incorporate such feedback.

6. User Content

6.1 Responsibility. You are solely responsible for all Content you upload or share. You represent and warrant that you have all rights necessary to provide such Content and that it does not violate any law or third-party rights.

6.2 License. By submitting Content, you grant MyGlobAD a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your Content solely to operate and improve the Service.

6.3 Removal. We may, but have no obligation to, monitor, review, or remove any Content that we determine violates these Terms or is objectionable.

7. Fees and Payment

7.1 Fees. Access to certain features may require payment of subscription or usage fees as specified in your Order Form or invoice.

7.2 Taxes. All fees are exclusive of taxes, duties, or charges imposed by governmental authorities. You are responsible for payment of all such taxes.

7.3 Payment Terms. Unless otherwise stated, fees are due net 30 days from invoice date. Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by law.

8. Confidentiality

Both parties agree to keep each other’s Confidential Information strictly confidential and to use it only for the purposes of performing under these Terms. “Confidential Information” includes non-public business, technical, or financial information.

9. Warranties and Disclaimers

9.1 Warranties. Each party represents that it has the legal power and authority to enter into these Terms.

9.2 Disclaimer. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. MYGLOBAD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10. Limitation of Liability

To the fullest extent permitted by law, MYGLOBAD’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO MYGLOBAD IN THE PRIOR TWELVE MONTHS. IN NO EVENT WILL MYGLOBAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless MyGlobAD and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Term and Termination

12.1 Term. These Terms remain in effect until terminated as provided herein.

12.2 Termination. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within 30 days’ notice.

12.3 Effect of Termination. Upon termination, your license to use the Service ends, and you must cease all use. Sections regarding Intellectual Property, Fees, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Miscellaneous shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration under the rules of the Indian judicial system, local courts in Nashik.

14. Miscellaneous

14.1 Entire Agreement. These Terms and any Order Forms constitute the entire agreement between you and MyGlobAD regarding the Service.

14.2 Amendments. We may modify these Terms at any time by posting a revised version. Continued use after changes constitutes acceptance.

14.3 Assignment. You may not assign or transfer your rights without our prior written consent.

14.4 Notices. All notices must be in writing and sent to the addresses specified on our website.

14.5 Severability. If any provision is held invalid, the remainder shall remain in full force.

14.6 Waiver. No waiver of any provision shall be effective unless in writing.
